Welcome to AssistEd School Programs, LLC ("ASP," "we," "our," or "us"). AssistEd School Programs, LLC is a California limited liability company dedicated to providing in-school tutoring and academic support services for K–12 students through partnerships with schools and school districts.
These Terms of Service ("Terms") govern your access to and use of the ASP website, located at 3144 G Street STE 125 Box 240, Merced, CA—95340 (the "Website"). By accessing or using the Website in any way, you agree to be legally bound by these Terms. If you do not agree to these Terms, please do not use or access the Website.
These Terms apply to all visitors, school administrators, educators, parents, guardians, and any other individuals who access or use the Website, regardless of the purpose of their visit.
2. About Our Services
ASP provides educational support services, including in-school tutoring and academic assistance programs, for K–12 students. Our programs are developed in partnership with schools and school districts to support student achievement and academic growth.
The Website serves as an informational resource about ASP, its programs, and how to get in touch with us. The Website does not itself deliver tutoring, instruction, or any other educational services. All program services are delivered in person at partner school sites and are governed by separate written agreements between ASP and the applicable school or school district.
Nothing on the Website — including program descriptions, outcome information, testimonials, or any other content — constitutes a contract, promise, or guarantee of services. Any engagement of ASP's educational programs requires a separately executed, written Service Agreement. Please see Section 11 for more information.
3. Eligibility and Use of the Website
The Website is intended for use by adults who are at least 18 years of age, including school administrators, educators, parents, and guardians. The Website is not intended for direct use by students or children under the age of 13. ASP does not knowingly collect personal information from children under 13. If you believe that a child under 13 has submitted personal information through the Website, please contact us immediately using the information in Section 15. By using the Website, you agree to:
● Provide accurate, current, and complete information when using any contact forms or interactive features on the Website;

TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF THE STATE OF CALIFORNIA AND OTHER APPLICABLE LAW, ASSISTED SCHOOL PROGRAMS, LLC AND ITS MEMBER(S), EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY, "ASP PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
● Damages arising from your use of, or inability to use, the Website;
● Reliance on any content, information, or materials on the Website;

These Terms of Service govern only your use of the ASP Website. They do not govern ASP's delivery of educational programs or tutoring services. The provision of ASP's in-school tutoring and academic support services is exclusively governed by separate, individually negotiated written Service Agreements executed between ASP and the applicable school, school district, or institutional partner.
If you are a school administrator, district representative, or other institutional decision-maker interested in partnering with ASP, please contact us to initiate the process of executing a formal Service Agreement. Use of the Website — including submission of contact or inquiry forms — does not constitute execution of or agreement to any Service Agreement.

12. Changes to These Terms
ASP reserves the right to update, modify, or replace these Terms of Service at any time, in its sole discretion. When changes are made, the updated Terms will be posted on this page with a revised effective date at the top of the document.

Class Action Waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceeding will be conducted on an individual basis only. You waive any right to bring or participate in any class action lawsuit, class-wide arbitration, or any other representative proceeding related to your use of the Website or these Terms.
